Germany

With its team of experienced German commercial lawyers, Alexander & Partner provides comprehensive support in German commercial and corporate law as well as in dispute resolution.

Drafting of international treaties

The German economy is one of the most important economies in the world. The high, and in particular crisis-proof, market stability makes it an interesting location for international investors. When drafting investment contracts, there is often a clash between two legal systems. Although these are of fundamental importance for the drafting of international treaties, the parties are often not aware of the various legal systems involved.

It is therefore particularly important that you seek advice from a team that is not only versed in German law but also in various other national legal systems. We are highly qualified experts who can assist you in drafting and negotiating contracts. In addition, we support you in the area of conflict resolution (arbitration and court). Thanks to our lawyers’ many years of experience in Germany and abroad, we can provide you with the best possible advice.

Advice on existing international treaties

We aim to identify problems at an early stage and solve them in advance. Especially with international contracts and in project management, it is important to be able to act and react quickly. Our experienced team supports you in all aspects of contract management.

Thanks to our location in the heart of Berlin, we are always happy to advise you on site or discuss the status of your projects via video conference. We are in constant contact with important organizations such as embassies and foreign chambers of commerce. The aim of contract management is to minimize further legal risks and maximize profitability.

In addition to contract management, claim management is also one of our areas of expertise. We try to enforce our clients’ claims and defend against opposing claims. Our focus is on the best possible representation of your interests.

Law firm with experience in international project contracts

With our expertise as legal advisors for international contracts and international projects, we see ourselves as a partner who can help you in the long term with questions relating to the legal situation of your contracts and projects.

Project contracts are essential, especially for German companies doing business abroad. These contracts include, among others:

  • EPC contracts and
  • Joint Venture Contracts

If you want to carry out a new project in Germany or abroad, the legal framework must be clear in advance. This is the only way to ensure that your project is legally sound. We are happy to offer a detailed discussion with you before the start of your new project via video conference or on site, in Berlin or one of our locations. We will draw up project contracts together with you so that important issues are suitably covered. Should the consultation take place abroad, you do not need to interpose another law firm – we will work with you on site.

The subject of international project contracts is extremely extensive and complex and requires international experience, which we bring to the table. All lawyers in our team have acquired international legal expertise through having lived and worked abroad or having received legal training there.

Our large client base includes numerous companies from the German SME sector seeking legal support specifically for infrastructure projects in Africa, North Africa, the Middle East and the Near East.

Commercial law firm with a focus on “International Arbitration”

Careful preparation of projects and contracts cannot always prevent conflicts from arising. Here, too, we stand by your side in Germany and represent you in court or in arbitration. Before that, however, we always try to find a constructive out-of-court dispute resolution. We represent your interests vis-à-vis the other party and at the same time try to avoid a legal dispute. Should it come to that, however, we will of course represent you competently and personally before the court in Germany. In cases of international arbitration, we have experience both in proceedings under international (e.g. ICC) and local arbitration rules (e.g. DIS) and in investment disputes (ICSID).

International investments with legal due diligence

In an international investment, the legal risks and opportunities must be included in the contract negotiations in order to achieve a fair price. This often involves large sums of money. As an experienced and internationally well-positioned law firm in business law, we conduct your legal due diligence and uncover risk factors for your investment at home and abroad. We also accompany you in the area of M&A, i.e. mergers and acquisitions, and ensure that your interests are protected as well as possible.

Your own location outside Germany: Setting up a company abroad

International contractual relationships abroad are often the first step towards establishing your own location beyond Germany’s borders. Our highly qualified team will be happy to advise you on setting up a company abroad. In doing so, we conduct a basic legal review and clear up any legal uncertainties. We place your establishment on a strong foundation.

Our firm has already established various companies involved in a number of industries and projects abroad. We advise you on whether a production site is needed, a project company is required or a special purpose vehicle or special purpose company is to be established for an investment. We use our many years of experience and short decision-making processes to the advantage of our clients. Our particular strength is that we can react flexibly and agilely to new challenges.

Questions

As a law firm, we work predominantly in international commercial law. We have particular expertise in Africa, France and the Middle East. Our lawyers are not only admitted in Germany, but also in various foreign locations. We can therefore often represent you directly on site without the intervention of foreign lawyers and can also conduct proceedings in the local language.
German law does not automatically apply to international contracts. The contracting parties involved must agree in advance which law is to form the basis of the contract. This can be German law, the law of the country of destination or the law of a third country. In the case of sales contracts, the international sales contract according to UN sales law is also an option.
Our specialised and culturally sensitive team works in advance to avoid conflicts through solidly drafted contracts and good legal assistance. If worst comes to worst, we think entrepreneurially and try to avoid a long and costly dispute. Ideally, a solution acceptable to both sides is found away from the courts. If the conflict cannot be avoided, we can guide you through the dispute in the best possible way with our many years of experience, especially in international cases.
